Our SEO Engagement Terms
These SEO Engagement Terms apply to all clients engaging SEO, website strategy, or related digital marketing services with Online Strategy Co (“we”, “us”, “our”).
By commencing SEO services and/or making payment for monthly SEO services, you confirm that you have read, understood, and agree to these terms.
1. Nature of SEO Engagements
SEO services are provided as a strategic and ongoing professional service, not as a one-off deliverable unless expressly agreed in writing.
Where SEO services are invoiced monthly, this payment structure is for administrative and cashflow purposes only and does not create a month-to-month engagement, unless explicitly stated in writing.
SEO services are designed to deliver outcomes progressively over time through research, planning, implementation, review, and refinement.
2. Engagement Term
Unless otherwise agreed in writing, SEO and website strategy services are provided on a fixed-term engagement, as outlined in the proposal, onboarding documentation, or written correspondence.
By instructing us to commence SEO services and making the first monthly payment, the client accepts and agrees to the full term of the engagement.
The engagement is not intended to be paused, cancelled, or reassessed based on a single draft, deliverable, or early-stage implementation.
3. Strategic Work & Intellectual Property
All SEO research, strategy, planning, keyword analysis, site structure, content direction, technical recommendations, documentation, and related materials (“Strategic Work”) are created specifically for the client in reliance on the agreed engagement term.
Unless otherwise agreed in writing:
Strategic Work remains the intellectual property of Online Strategy Co until the engagement has been completed in accordance with the agreed term
Strategic Work is provided solely for use within the engagement
Strategic Work may not be transferred, disclosed to third parties, or implemented outside the engagement without our prior written consent
4. Drafts, Review & Collaboration
SEO and website services progress through staged delivery, which may include strategy development, draft implementation, review, refinement, and final implementation.
Any draft materials, draft website builds, or early-stage implementations are provided for review and feedback purposes only and do not constitute final deliverables.
Custom coding, advanced design refinements, and detailed technical implementation are undertaken following review and collaboration with the client, and are not completed prior to feedback being provided.
5. Client Obligations
The client agrees to:
provide timely and reasonable feedback when requested
participate in review and collaboration processes
promptly raise any concerns regarding direction or alignment
Failure to provide feedback or participate in review stages does not invalidate work already completed or obligations under the engagement.
6. Early Termination
Early termination of a fixed-term SEO engagement is not permitted without mutual written agreement.
Where early termination is agreed, we reserve the right to invoice for:
services provided up to the termination date
work in progress
strategic work prepared in anticipation of future stages of the engagement
All outstanding invoices remain payable in accordance with standard payment terms.
7. Google Ads & Month-to-Month Services
Google Ads management and any other services expressly stated to be month-to-month operate independently of SEO and website strategy engagements.
Where a service is provided on a month-to-month basis, this will be clearly identified in writing.
8. No Guarantee of Outcomes
SEO performance is influenced by external factors outside our control, including search engine algorithms, competition, and market conditions.
Accordingly, we do not guarantee specific rankings, traffic levels, or commercial outcomes. Services are delivered on a best-practice, strategy-led basis.
9. Variations
These SEO Engagement Terms may be updated from time to time. The version applicable to your engagement is the version published on our website at the time SEO services commenced.
10. Governing Law
These terms are governed by the laws of Western Australia, and the parties submit to the non-exclusive jurisdiction of the courts of Western Australia.
